By accessing or using the GoNex platform — including our website at gonex.com and our mobile applications — you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, you may not access or use the platform.

GoNex Technologies, Inc. ("GoNex," "we," "us," or "our") provides this platform subject to these Terms, our Privacy Policy, and any additional policies referenced herein. Your continued use of the platform constitutes your ongoing acceptance of these Terms.

To use the GoNex platform you must meet all of the following requirements:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete account information
• Maintain the security of your account credentials
• Comply with all applicable local, state, and federal laws

You are solely responsible for all activity that occurs under your account. You must notify GoNex immediately of any unauthorized use of your account or any other breach of security. GoNex reserves the right to refuse, suspend, or terminate access to the platform at our sole discretion.

GoNex is a technology platform that connects riders seeking transportation with independent professional drivers. GoNex does not provide transportation services directly. Drivers using the platform are independent contractors and are not employees, agents, or representatives of GoNex.

The platform and the services available through it may vary by location and may not be available in all areas. GoNex does not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any feature of the platform at any time, with or without notice. Scheduled maintenance, technical issues, network conditions, and events beyond our reasonable control may affect platform availability.

Fares are calculated based on the GoNex pricing model in effect at the time of booking. Pricing may include base fares, distance and time charges, surge pricing during periods of high demand, tolls, applicable taxes, and any other fees disclosed at the time of booking.

By confirming a ride, you authorize GoNex to charge the displayed fare to your selected payment method. Fare estimates shown before a ride are estimates only; the final amount may vary based on actual trip distance, duration, route changes, waiting time, or additional services requested during the trip.

All payments are processed through third-party payment providers. You are responsible for keeping your payment information current. Disputes regarding charges must be raised through the GoNex app or by contacting support within thirty (30) days of the charge.

When using the GoNex platform, you agree to conduct yourself responsibly, lawfully, and with respect for other users. You are responsible for verifying trip details, providing accurate pickup and drop-off information, and following all instructions provided through the platform.

You may not:

• Use the platform for any unlawful purpose or in violation of any applicable law
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with, disrupt, or attempt to gain unauthorized access to the platform or its systems
• Use the platform to harass, threaten, abuse, or discriminate against any person
• Damage, vandalize, or smoke in any vehicle, or transport hazardous materials or unauthorized items
• Share your account access with unauthorized third parties
• Scrape, reverse engineer, or attempt to extract source code from the platform
• Submit false, misleading, or fraudulent information through the platform

Violations of these expectations may result in immediate suspension or termination of your account.

GoNex reserves the right to suspend, restrict, or terminate your access to the platform at any time, with or without notice, for any reason — including but not limited to violations of these Terms, conduct that endangers other users, fraudulent activity, or non-payment.

You may close your account at any time by contacting GoNex support. Termination of your account does not relieve you of any obligations incurred prior to termination, including outstanding payments. Sections of these Terms that by their nature should survive termination — including payment obligations, intellectual property, limitation of liability, indemnification, and dispute resolution — will remain in effect after your account is closed.

GoNex collects, stores, and processes personal information as described in our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of your information as outlined in the Privacy Policy.

Information collected may include account details, location data, trip history, device identifiers, and payment information. We use this information to operate the platform, match riders with drivers, process payments, support safety operations, and improve the service. We do not sell personal data to third parties. The GoNex name, logo, platform, software, designs, text, graphics, and all related content are owned by GoNex Technologies, Inc. or its licensors and are protected by United States and international intellectual property laws.

GoNex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the platform without our prior written permission. All rights not expressly granted are reserved by GoNex.

To the maximum extent permitted by applicable law, GoNex and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost data, personal injury, property damage, or any damages arising from trip delays, driver conduct, third-party actions, or platform unavailability — even if GoNex has been advised of the possibility of such damages.

In no event shall GoNex's total aggregate liability arising from or related to your use of the platform exceed the greater of (a) the amount you paid to GoNex in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, GoNex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English in a venue agreed upon by the parties, or otherwise determined by the arbitrator.

You agree that any arbitration or legal proceeding shall be limited to your individual claim. You waive any right to participate in a class action, class arbitration, or representative proceeding. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

If the arbitration provision is found unenforceable, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

GoNex may update or modify these Terms at any time. When we make material changes, we will provide notice through the platform, by email, or by updating the "Last updated" date at the top of this page. Changes become effective on the date posted unless otherwise stated.

Your continued use of the platform after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the platform and close your account.
