GoNex Driver & Provider Agreement

Effective Date: May 2026

This Driver & Provider Agreement (“Agreement”) governs participation by independent drivers, businesses, operators, contractors, and service providers (“Provider,” “Driver,” “you,” or “your”) who access or use the GoNex platform, applications, website, software systems, communication tools, onboarding systems, and related services (collectively, the “Platform”). By registering, onboarding, accessing, or using the Platform, you agree to the terms outlined in this Agreement.

1. Independent Contractor Relationship

Providers using the GoNex Platform operate as independent third-party providers unless otherwise stated in a separate written agreement.

Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, or franchise relationship between GoNex Technologies Inc. and the Provider.

Providers remain independently responsible for:

  • Operational decisions
  • Business activities
  • Scheduling and availability
  • Taxes and reporting obligations
  • Licensing requirements
  • Insurance obligations
  • Compliance with laws and regulations

2. Platform Access

GoNex may provide access to digital systems intended to support:

  • Service requests
  • User-provider matching
  • Communication tools
  • Navigation assistance
  • Operational workflows
  • Payment processing support
  • Provider onboarding systems

Access to the Platform does not guarantee service requests, earnings, operational volume, or uninterrupted access.

3. Eligibility Requirements

Providers may be required to submit or maintain:

  • Government-issued identification
  • Driver’s license where applicable
  • Vehicle documentation
  • Insurance documentation
  • Business information
  • Background review authorizations
  • Additional operational or compliance documents

GoNex reserves the right to request updated documentation at any time.

4. Provider Responsibilities

Providers agree to:

  • Maintain accurate account information
  • Operate lawfully and professionally
  • Maintain safe operational standards
  • Comply with community and safety guidelines
  • Maintain required licenses and permits where applicable
  • Maintain vehicle safety where applicable
  • Follow applicable traffic and transportation laws
  • Treat users respectfully and professionally

5. Safety Expectations

Providers must prioritize safety while participating on the Platform.

Unsafe conduct may result in suspension or permanent removal.

Examples include:

  • Dangerous driving
  • Harassment
  • Violence or threats
  • Substance abuse during operations
  • Discrimination
  • Fraudulent conduct
  • Unsafe operational behavior

6. Background Reviews & Verification

GoNex may conduct or request identity verification, background reviews, document checks, vehicle reviews, fraud prevention reviews, or operational verification processes.

Approval to access the Platform may depend on review outcomes, operational standards, safety considerations, and applicable laws.

GoNex reserves the right to deny or revoke platform access at its discretion where permitted by law.

7. Payments & Earnings

Providers may receive payments related to completed services facilitated through the Platform.

Payment calculations may depend on:

  • Service type
  • Distance or duration
  • Platform fees
  • Promotions or incentives
  • Applicable taxes
  • Operational conditions

Payment timing may vary depending on payment processors, banking systems, verification reviews, fraud checks, or operational requirements.

8. Taxes & Financial Obligations

Providers remain solely responsible for their own taxes, reporting obligations, accounting obligations, insurance costs, operational expenses, licensing fees, and business compliance obligations.

GoNex does not provide tax or legal advice.

9. Insurance & Legal Compliance

Providers may be required to maintain legally required insurance, permits, registrations, or operational documentation depending on applicable laws and service categories.

Providers are responsible for ensuring their own compliance with local, state, federal, and international laws where applicable.

10. Prohibited Conduct

Providers may not:

  • Use fake identities or documents
  • Share accounts improperly
  • Commit fraud or payment abuse
  • Manipulate platform systems
  • Harass users or support teams
  • Violate safety policies
  • Operate unlawfully
  • Misrepresent services or operational status

11. Account Suspension & Removal

GoNex may temporarily suspend, restrict, investigate, or permanently remove provider accounts for:

  • Safety concerns
  • Fraud prevention
  • Policy violations
  • Regulatory issues
  • Background review concerns
  • Repeated complaints
  • Operational integrity concerns

GoNex reserves the right to make platform access decisions at its discretion where permitted by law.

12. Technology & Platform Systems

Providers acknowledge that GoNex may use technology systems, analytics, GPS systems, fraud prevention systems, communications tools, and operational monitoring systems to support Platform operations.

Technical interruptions, outages, or service disruptions may occur.

13. Limitation of Liability

To the maximum extent permitted by law, GoNex Technologies Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages related to provider participation on the Platform.

Providers access and use the Platform at their own risk.

14. Modifications to This Agreement

GoNex may update this Agreement periodically to reflect operational changes, compliance requirements, platform updates, legal obligations, or service changes.

Continued use of the Platform after updates constitutes acceptance of the revised Agreement.
